1. Parties & Acceptance

These Terms & Conditions ("Terms") constitute a binding agreement between Atlasweave Ltd, a company registered in England and Wales ("Atlasweave", "we", "us", "our"), and the organisation or individual accessing or using the Atlasweave platform ("Customer", "you").

By creating an account, clicking "I agree", or using the platform in any way, you confirm that you have read, understood, and accepted these Terms. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree, do not use the platform.

2. The Services

Atlasweave provides a cloud-based process intelligence platform ("Services") that enables customers to upload documents, transcripts, and process notes, and receive AI-generated service blueprints, opportunity scoring, and transformation recommendations.

We reserve the right to modify, update, or discontinue any feature with reasonable notice. For material changes to paid features, we will provide at least 30 days' notice.

3. Accounts & Access

You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately via our contact form if you suspect unauthorised access.

You may not share your login credentials with third parties outside your organisation or create accounts using automated means.

4. Customer Data

Ownership. You retain all rights, title, and interest in any documents, transcripts, or other materials you upload to the platform ("Customer Data"). We claim no ownership over Customer Data.

Licence to us. You grant Atlasweave a limited, non-exclusive, worldwide licence to process, store, and transmit Customer Data solely to provide the Services to you.

AI model training. We do not use Customer Data to train, fine-tune, or improve our underlying AI models without your explicit written consent.

Data processing. Where we process personal data on your behalf, the terms of our Privacy Notice and, where applicable, a Data Processing Agreement govern that processing.

Deletion. On request or upon account termination, we will delete Customer Data in accordance with our data retention policy, typically within 30 days.

5. Acceptable Use

You agree not to use the Services to:

  • Upload content that is unlawful, defamatory, or infringes third-party rights;
  • Attempt to reverse-engineer, decompile, or extract the underlying models or software;
  • Probe, scan, or test the vulnerability of our systems without prior written authorisation;
  • Interfere with or disrupt the integrity or performance of the platform;
  • Resell or sublicense access to the platform without our written consent;
  • Use the platform to generate content intended to deceive, defraud, or mislead third parties.

We reserve the right to suspend or terminate access if we reasonably believe you have violated these rules.

6. Intellectual Property

Our IP. The Atlasweave platform, software, models, documentation, and all associated intellectual property rights are and remain owned by Atlasweave or its licensors. These Terms grant you no rights in our IP except the limited right to use the Services as described.

Output. AI-generated outputs produced by processing your Customer Data ("Output") are provided to you under a non-exclusive licence. You may use Output for your internal business purposes. We make no representations that Output is free from third-party IP claims.

Feedback. If you provide suggestions, feedback, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.

7. Fees & Billing

Pricing is set out on our Pricing page or in a separately executed Order Form. Fees are billed in advance (monthly or annually as agreed) and are non-refundable except as expressly stated.

If any undisputed invoice is not paid within 14 days of the due date, we may suspend access until the outstanding balance is settled. We reserve the right to modify pricing with 30 days' notice; continued use after the notice period constitutes acceptance of the new pricing.

8. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Neither party will disclose the other's Confidential Information to third parties or use it for any purpose other than to perform obligations under these Terms, except as required by law.

This obligation survives for three years after the termination of these Terms.

9. Warranties & Disclaimers

We warrant that the Services will perform materially in accordance with our documentation during the subscription period.

Except as expressly stated, the Services are provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs are probabilistic in nature - they may contain errors and should not be relied on as professional, legal, financial, or medical advice without independent verification.

10. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

Atlasweave's total aggregate liability arising from or relating to these Terms, whether in contract, tort, or otherwise, will not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

11. Term & Termination

These Terms remain in effect from the date you first access the Services until terminated. Either party may terminate for convenience with 30 days' written notice. Either party may terminate immediately if the other materially breaches these Terms and fails to cure the breach within 14 days of written notice.

On termination: (a) your access to the Services will cease; (b) you must pay any outstanding fees; (c) sections that by their nature should survive termination (including IP, confidentiality, liability, and governing law) will survive.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before they take effect. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
